Agreement to Terms
By accessing or using RevGuard ("Service"), operated by RevGuard ("we", "us", "our"), a business registered in Victoria, Australia, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not use our service.
This Service is intended for business and commercial use only. By using RevGuard, you represent that you are using it for business purposes.
Description of Service
RevGuard is a payment recovery service that integrates with your Stripe account to:
- Monitor failed subscription payments
- Execute smart retry strategies
- Send recovery emails to your customers
- Provide card update flows
- Track recovery metrics and billing
Account Registration
To use RevGuard, you must:
- Be at least 18 years old
- Have a valid Stripe account
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
Stripe Connect Integration
By connecting your Stripe account, you authorize RevGuard to:
- Access failed payment webhooks
- Read customer and invoice data necessary for recovery
- Execute payment retries on your behalf
- Send emails to your customers
You may revoke this authorization at any time by disconnecting your Stripe account through the dashboard.
Pricing and Payment
Performance-Based Pricing
RevGuard charges 25% of additionally recovered revenue. "Additionally recovered revenue" means revenue recovered by RevGuard above an estimated baseline recovery rate. We estimate Stripe's default retry settings recover approximately 70% of failed payments, based on publicly available industry benchmarks. This baseline is an estimate, may vary by business, and is not a guarantee of any specific recovery rate.
All fees are calculated and invoiced in USD. Currency conversions, if applicable, are handled by Stripe at prevailing rates.
Billing Cycle
- Invoices are generated on the 1st of each month
- Payment is due within 14 days of invoice date
- Invoices are sent via Stripe and payable by credit card
Beta Pricing
Founding customers may receive discounted rates (e.g., 20% instead of 25%). These rates are locked in for the lifetime of your account.
Taxes
All fees are exclusive of taxes. You are responsible for paying any applicable taxes (including GST, VAT, or sales tax) based on your location. We will add applicable taxes to invoices where required by law.
Late Payments
If payment is not received within 30 days of invoice date, we reserve the right to suspend your account until payment is made.
Refunds & Disputes
If you believe an invoice is incorrect, contact us at support@getrevguard.com within 14 days of the invoice date. We will review and correct any errors. Refunds for billing errors will be applied as credits to future invoices or refunded to your payment method, at our discretion.
Service Availability
We strive to provide 99%+ uptime but do not guarantee uninterrupted service. We are not liable for:
- Service interruptions due to maintenance
- Third-party service failures (Stripe, Resend, Supabase, Vercel)
- Force majeure events
Your Responsibilities
You agree to:
- Comply with all applicable laws and regulations
- Use the Service only for lawful purposes
- Not attempt to reverse engineer, decompile, or hack the Service
- Not use the Service to send spam or unsolicited communications
- Ensure your Stripe account is in good standing
- Maintain adequate funds to pay invoices
Intellectual Property
RevGuard and its original content, features, and functionality are owned by RevGuard and are protected by international copyright, trademark, and other intellectual property laws.
You retain all rights to your data. We claim no intellectual property rights over the data you provide to the Service.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVGUARD SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, or consequential damages
- Loss of revenue, profits, data, or business opportunities
- Failures in payment recovery (recovery is not guaranteed)
- Errors in billing calculations
- Third-party service failures
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Guaranteed recovery rates
Indemnification
Your Indemnification of RevGuard
You agree to indemnify and hold RevGuard harmless from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content sent to your customers via our Service
RevGuard's Indemnification of You
RevGuard will defend and indemnify you against any third-party claim that the Service infringes any patent, copyright, or trademark, provided that you:
- Promptly notify us of the claim
- Give us sole control of the defense and settlement
- Provide reasonable assistance at our expense
This indemnification does not apply to claims arising from your modifications to the Service, your combination of the Service with other products, or your continued use after we notify you to stop.
Termination
We may terminate or suspend your account immediately, without prior notice, if:
- You breach these Terms
- You fail to pay invoices
- You engage in fraudulent or illegal activity
- Your Stripe account is suspended or terminated
You may terminate your account at any time by disconnecting your Stripe account through the dashboard. To request full account deletion, email support@getrevguard.com.
Upon termination, you remain liable for any outstanding invoices.
Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect.
Continued use of the Service after changes constitutes acceptance of the new Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.
For Australian customers: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.
For EU customers: Nothing in these Terms affects your statutory rights under applicable EU consumer protection laws.
Dispute Resolution
We encourage you to contact us first at support@getrevguard.com to resolve any disputes informally.
If we cannot resolve a dispute informally, any legal proceedings shall be brought in the courts of Victoria, Australia, except where prohibited by local law. EU consumers may also bring proceedings in their country of residence.
International Users
RevGuard is operated from Australia and is intended for use by businesses worldwide. By using the Service, you consent to the transfer and processing of your data in Australia and other countries where our service providers operate.
We comply with applicable data protection laws including GDPR (for EU users) and CCPA (for California users). See our Privacy Policy for details.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
Entire Agreement
These Terms constitute the entire agreement between you and RevGuard regarding the Service and supersede all prior agreements.
